M&A Associate

Primary Duties:

• Oversee M&A and joint venture transactions.
• Conduct initial due diligence.
• Prepare due diligence reports.
• Elaborate and analyze M&A and JV documents and contractual terms.
• Engage and collaborate with external counsels, support planning their work and fee payment.
• Conduct detailed business case reviews.
• Take active part in negotiations with the related parties with regard to terms, completion and executions of transactions.
• Prepare internal reports and other documents as required.

Required:

• Higher professional education. Postgraduate law degrees (Master of Law, LLM, MLF) from British, American or European universities or schools is a plus. Additional higher professional education in Economics is welcome.
• Excellent knowledge of Russian corporate and contract law, competition law, private international law.
• Exceptional communication skills, outside-the-box thinker.
• Strong organizational skills.
• Basic knowledge of English contract and corporate law.

Preferred:

• Work experience in international law firms or large companies dealing with mergers and acquisitions, creation of joint ventures, foreign capital attraction.
• Strong knowledge of bank finance law in Russia, trade finance and derivatives transactions.
• Knowledge of US and EU sanctions against Russia;
• Legal representation in state courts and international arbitration institutions
• International litigation practice.
