Our client, a prominent investment company, is seeking a Senior Legal Counsel to provide essential legal support across a diverse range of investment activities, with a particular emphasis on the Russian technology and startup sectors. This role offers an exciting opportunity for a legal professional to work on high-impact projects within a dynamic and growth-oriented environment.

Key Responsibilities:
• Provide expert legal support for all investment activities, focusing on projects involving Russian technology companies and innovative startups.
• Draft, review, and negotiate essential transaction documents, including share purchase agreements, equity agreements, options, loans, convertible loans, and corporate contracts.
• Develop key documents such as memorandums of understanding, term sheets, and NDAs to guide transaction structure and execution.
• Prepare in-depth legal opinions for internal use, ensuring the accuracy of legal interpretations within the scope of investment responsibilities.
• Coordinate with external consultants to conduct legal due diligence, prepare transaction documentation, and support legal aspects of transactions.
• Participate actively in negotiations with partners and coordinate with notaries to ensure smooth transaction preparation and closing.
• Provide legal support for structuring new investment funds, project companies, and BuyBuild holdings.
• Engage with the Investment Committee as needed, offering legal insights and strategic recommendations.

Key Requirements:
• At least 5 years of experience in investment companies (PE/VC), family offices, or legal consulting with a specialization in Corporate and M&A.
• Proven experience in managing and closing investment transactions, including drafting transaction documents (SHA, SPA, Options, Term Sheets, MoUs) end-to-end.
• Proficiency in Russian law; experience with foreign jurisdictions is a strong asset.
• Demonstrated ability to successfully close investment transactions.
• Experience working with state-owned enterprises and large corporations (preferred).
• Independent and proactive, with strong organizational skills and a results-oriented approach.
• Ability to manage multiple projects simultaneously, facilitating collaboration between internal teams and external legal advisors.
